1. Agreement & eligibility

These Terms of Service ("Terms") are a binding agreement between you and Incognito, an individual entrepreneur registered in Georgia ("we", "us", "our"), the operator of Tesorly (the "Service"). By checking the acceptance box at registration, or by using the Service, you agree to these Terms and to the Privacy Policy. If you do not agree, do not register or use the Service.

You must be at least 18 years old and legally able to enter into a contract to create an account. By registering, you confirm that you meet this requirement. The Service is offered to you personally; you may not register on behalf of someone else.

These Terms are written in English. The English text is the only binding version; any translation is provided for convenience and has no legal effect.

2. The Service

The Service is a web application for keeping a personal record of income and expenses. It currently lets you:

  • record transactions in any currency, organize them by category, and view a dashboard of your finances converted into the base currency of a ledger
  • set budgets and savings goals, with in-app alerts when you approach or exceed a limit or reach a goal
  • create recurring-transaction rules that record a transaction on its due day and remind you in-app the day before
  • import bank statements (CSV, OFX/QFX, QIF, CAMT.053) with a preview and duplicate detection
  • fill in a transaction from a receipt photo, recognized on your own device
  • define categorization rules that suggest a category from a description
  • keep shared ledgers with other users, with roles, expense splitting and informational balances

The Service is provided in its current state as a work in progress. We may add, change, limit, suspend or remove any feature, or discontinue the Service entirely, at any time and for any reason, at our sole discretion. Where we consider a change material, we will make reasonable efforts to notify you in the Service before it takes effect, but we are not obliged to maintain any feature or to give notice.

3. Not a financial institution

Tesorly is a record-keeping tool. We are not a bank, a payment institution, a money transmitter, a financial adviser or an accounting firm, and we are not licensed or supervised as any of these. We do not hold, move or have access to your money, and we do not connect to your bank accounts. Statement import reads a file you upload yourself; "recurring transactions" and "reminders" are entries you create in your own records. Nothing in the Service triggers any payment.

4. No financial, tax or legal advice

Budgets, forecasts, savings-goal projections, currency conversions, shared-ledger balances and any other figure the Service shows you are informational estimates computed from the data you and other members entered. They are not financial, tax, accounting or legal advice, they do not constitute a record of any debt or obligation, and you must not rely on them as such. Any decision you make based on the Service is yours alone.

5. Accuracy & third-party data

Exchange rates come from a public, third-party dataset that we do not control. Rates may be missing, delayed, inaccurate or differ from the rate your bank applied, and a rate used for a past day may differ from the rate available later. Conversions are rounded to the minor unit of the currency. When you import a statement, save a transaction from a receipt photo or accept a suggested category, you are responsible for checking the result before relying on it; the Service may misread amounts, dates, merchants and currencies.

Notifications are shown inside the Service only, are produced on a best-effort basis and may be late, duplicated or missing. Do not rely on them to meet a payment or any other deadline.

6. Your account

You agree to provide accurate registration information and to keep your password, and any Google or Apple account you sign in with, secure. You can sign in with a password, with a Google or Apple account, or both, and can link or unlink them, set a password, and see and end the devices signed in to your account in Settings → Security; an account created through a provider has no password until you set one there. You are responsible for all activity that happens under your account, whether or not you authorized it. Tell us promptly if you believe your account has been compromised; we may, but are not obliged to, suspend it while we look into it.

If you forget your password, you can set a new one through a single-use link sent to the email address registered on your account; the link expires after one hour. The Service asks you to confirm your email address with a link it sends you; until you do, you cannot invite others to a shared ledger or accept an invitation, and a reset link can only reach an address you entered correctly and still control. If you lose access to that address as well, we cannot restore access to your account or to the data in it. Keep your password and your mailbox safe.

7. Your content & your copies

You own the data you enter or upload — transactions, categories, budgets, goals, rules, imported statement contents, your avatar and anything else you put into the Service ("your content"). You grant us a non-exclusive, worldwide, royalty-free license to store, process, display and transmit your content solely to operate, secure, maintain and improve the Service. We do not claim ownership of your content and we do not use it to train models or for advertising.

You are responsible for your content: for having the right to upload it (including statements that mention other people), for its accuracy, and for keeping your own copies. We keep encrypted daily backups of the Service database for up to twelve months, only to recover the Service as a whole after a failure; we do not restore data for an individual account from them. The Service is not a system of record, an archive or a backup: if your content is lost, altered or becomes unavailable for any reason, we have no obligation to recover or restore it and we may be unable to do so. Keep the original statements, receipts and any record you may need outside the Service.

8. Shared ledgers

A shared ledger is visible to every member. A member with the role of owner, editor or viewer can see every transaction, category, budget, goal and recurring rule recorded in that ledger, including yours, together with who recorded and who paid for each transaction. A member’s share weight (used for proportional splitting, for example a monthly income) is visible to the other members. By joining a shared ledger you accept this.

You may only invite someone to a shared ledger with their consent. An invitation is addressed to the account registered with the email you enter; the person decides whether to accept it. Sending unsolicited or repeated invitations is a violation of these Terms.

If you leave a shared ledger, are removed from it, or delete your account, the records you created in that ledger stay with the ledger for its other members, with your name removed. An owner who is the only owner of a ledger that has other members must first make another member an owner, or delete the ledger, before deleting the account. An owner may rename a ledger, change its base currency (which recalculates every converted amount in it), change roles, remove members and delete the ledger with everything in it.

Balances and suggested transfers between members are computed from the ledger’s current members and records and are for information only. They are not a debt, a settlement or a legal record, they are not preserved when a member leaves, and we are not a party to, and do not mediate, any arrangement or dispute between members.

9. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose, or to record data you have no right to hold
  • attempt to bypass, disable or interfere with any security, rate limit, size limit or access control
  • access the Service by any automated means other than the web interface, or scrape, crawl or systematically extract data from it
  • access, or attempt to access, another user’s account or a ledger you are not a member of
  • send unsolicited, repeated or abusive shared-ledger invitations
  • upload malicious or unlawful files, including through statement import or the avatar
  • resell, sublicense or offer the Service to third parties

We may set and change limits on usage (for example the number of ledgers, members, rules or invitations, request rates and file sizes) at any time.

10. Fees

The Service has a free plan and a paid plan ("Pro"). The features and limits of each plan, and the price of Pro, are shown in the Service (Settings → Plan) and on the home page at the time you buy. We may change what each plan includes and the price of Pro; a change never shortens a term you have already paid for.

Pro is sold as prepaid terms — a month or a year — that start when a payment is confirmed and are added to the end of any term you already have. There is no automatic renewal: nothing is charged unless you affirmatively buy another term. Payment is made in cryptocurrency through a third-party payment gateway (Plisio), which presents the invoice and confirms the transfer; the gateway’s own terms apply to the transfer itself. A cryptocurrency transfer is irreversible, and we do not issue refunds for a term once its payment is confirmed. A transfer that does not reach the invoiced amount, arrives after the invoice has expired, or is sent in a currency or on a network the invoice did not ask for may not be recognised and is handled under the gateway’s policy; contact us and we will help where we can.

Every account may start one free trial of Pro, of fourteen days, once. When a trial or a paid term ends, your account returns to the free plan: nothing you recorded is deleted or hidden, but the Pro features stop (for example, recurring transactions are not recorded and new invitations cannot be sent) until Pro is active again, and records above a free-plan limit remain readable and editable but no new ones can be added. We may grant Pro to an account without charge at our discretion.

Prices are stated in US dollars and do not include any tax, duty or exchange cost that your jurisdiction or your wallet may apply; those are your responsibility.

11. No warranties; availability; loss of data

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by applicable law, we disclaim all warranties, express, implied or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, non-infringement, availability, security, and that the Service will be error-free, uninterrupted or will preserve your content.

The Service is operated by a single individual on infrastructure rented from a third-party hosting provider. Its database is backed up daily, but a backup may fail, be incomplete or be out of date, and it is used only to recover the Service as a whole, not to restore an individual account. You acknowledge and accept that the Service may be unavailable, slow, interrupted, suspended or discontinued at any time, with or without notice, and that your content may be lost, corrupted, altered, leaked, accessed or disclosed without authorization, or become permanently unavailable, for any reason — including a hardware or software failure, a database failure or corruption, a bug, a migration or maintenance error, an attack, a security breach or leak whatever its cause, an action or failure of the hosting provider or another third party, or our own error. We do not guarantee the availability of the Service or the preservation, integrity, confidentiality or security of your content, and, beyond what the law requires, we have no obligation to prevent, mitigate, notify you of, or remedy any such event, or to restore any content.

12. Termination & deletion

You may delete your account at any time from Profile → Privacy → Delete account. Deletion is immediate and irreversible: your account, your personal ledger and everything in it are removed, subject to the shared-ledger rules in section 8.

We reserve the right to terminate this agreement unilaterally at any time, without stating a reason and without liability to you: we may suspend, restrict or terminate your access, delete your account and its content, or discontinue the Service entirely, with or without notice, whether or not you have violated these Terms. Where practical we will make reasonable efforts to give notice in the Service before discontinuing it. On termination, your right to use the Service ends and we have no obligation to keep, return or hand over your content. Sections 4, 7, 11, 13, 14, 15, 17 and 18 survive termination.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE TO YOU OR TO ANYONE ELSE FOR ANY LOSS OR DAMAGE OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, INCLUDING ANY LOSS, CORRUPTION OR UNAVAILABILITY OF DATA OR CONTENT; ANY INACCURACY OF A FIGURE, RATE, CONVERSION, BALANCE, RECOGNITION OR SUGGESTION; ANY MISSED PAYMENT, FEE, PENALTY OR DEADLINE; ANY DECISION MADE IN RELIANCE ON THE SERVICE; ANY SECURITY BREACH, LEAK, OR UNAUTHORIZED ACCESS TO OR DISCLOSURE OF YOUR ACCOUNT, DATA OR CONTENT, WHATEVER ITS CAUSE; ANY ACT OR OMISSION OF ANOTHER MEMBER OF A SHARED LEDGER OR OF A THIRD-PARTY PROVIDER; ANY INTERRUPTION, SUSPENSION OR DISCONTINUANCE OF THE SERVICE; AND ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, LOSS OF PROFITS, REVENUE, SAVINGS, BUSINESS, GOODWILL OR OPPORTUNITY, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the extent liability cannot be excluded, our total aggregate liability to you for all claims arising out of or relating to the Service or these Terms is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for intent or gross negligence, or any right you have as a consumer that cannot be waived under the mandatory law that applies to you. In that case the exclusions and limitations above apply to the fullest extent that law allows.

14. Indemnity

You will defend, indemnify and hold us harmless from any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of or relating to your content, your use of the Service, your violation of these Terms or of any law, or your violation of the rights of a third party, including another member of a shared ledger or a person mentioned in a statement you imported.

15. Force majeure

We are not responsible for any failure or delay caused by events beyond our reasonable control, including natural disasters, war, civil unrest, government action, epidemics, strikes, power or internet failures, failures of a hosting, network, CDN or data provider, and attacks on our infrastructure.

16. Changes to these Terms

We may update these Terms at any time. Each version is dated at the top of this page. If we consider a change material, we will make reasonable efforts to notify you in the Service before it takes effect. Continuing to use the Service after a new version takes effect means you accept it; if you do not, delete your account.

17. Governing law & disputes

These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of Georgia, without regard to its conflict-of-law rules. The courts of Georgia have exclusive jurisdiction over any such dispute or claim. Before starting any proceedings, you agree to contact us at hello@tesorly.com and to try in good faith to resolve the matter informally for at least 30 days.

If the mandatory consumer-protection law of the country where you habitually reside gives you the right to bring proceedings there, or the protection of specific provisions of that law, nothing in this section takes that right away.

18. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions stay in force. Our failure to enforce a provision is not a waiver of it. You may not assign or transfer these Terms; we may assign them to a successor operator of the Service. Section headings are for convenience only.
